Yardi Systems, LLC and its affiliated entities (collectively, “Yardi”) thank you for licensing Virtuoso Studio. Yardi and Client (“Client” or “you”) agree to amend their SAAS Subscription Agreement (“Agreement”) to add the Yardi Virtuoso Studio Terms (“Terms”) posted at https://resources.yardi.com/legal/virtuoso-studio/tos/, Capitalized terms used herein but not defined below shall have the meaning ascribed to them in the Agreement.
1. Defined Terms
a. “Artificial Intelligence” or “AI” means any algorithmic, interpretive, machine learning, or other process which is intended to perform tasks that normally require human intelligence such as problem-solving, pattern recognition, and prediction.
b. “Agent” means an AI-powered system or program that is capable of autonomously (without human interaction) performing tasks on behalf of a user or another system.
2. Yardi Virtuoso Studio
a. Yardi Virtuoso Studio includes Agents, Connectors and Composer.
b. Agents. Client may deploy Agents as Designated Users to execute tasks on Client’s behalf. Agents leverage Yardi-licensed third-party AI models. Client may download Agents from the Yardi Virtuoso Marketplace or create their own using the Yardi Composer tools. The Agents are provided on an “as-is” and “as-available” basis, and Yardi disclaims liability for their performance, including any actions with respect to Client Data. If the actions of the Agent are perceived to be negatively impacting the performance or integrity of the Yardi Cloud, the Agent may be blocked by Yardi’s technology. No service levels will apply to the extent an Agent degrades the availability or performance of the Licensed Programs. Yardi recommends that Client test each Agent in their test environment before deploying in their production environment. Agents should not be used to make certain decisions without human involvement. It is Client’s sole responsibility to ensure that it uses Agents in compliance with applicable law and the terms of the Agreement. Yardi has no liability with respect to Client Data that leaves the Yardi Cloud.
c. Connectors. Connectors link Client’s Yardi database to Client’s licensed third-party AI model application, allowing Client to query its Yardi database by prompting the AI model in natural language. Client has its own license agreement with such third party governing the third party’s processing of Client Data, and Yardi disclaims liability for such third-party processing, including the output generated by such third parties. Connectors are provided on an “as-is and as-available basis.” Yardi has no liability with respect to Client Data that leaves the Yardi Cloud.
d. Composer. Composer allows Client to create Agents for use in Yardi products without a programming background.
3. Amendments to the Terms. Yardi reserves the right to add, delete or change the Terms at any time IN ITS SOLE DISCRETION, including but not limited to when such changes are required by Applicable Law or any other legal, regulatory, contractual or other requirement imposed by regulatory authority or any other entity involved in any way, whether directly or indirectly, with the Yardi Virtuoso Studio.
