Yardi Systems, LLC and its affiliated entities (collectively, “Yardi”) and Client (“Client” or “you”) agree to amend their SAAS Subscription Agreement (“Agreement”) to add the Yardi Virtuoso Terms (“Terms”) posted at https://resources.yardi.com/legal/virtuoso/tos/. Capitalized terms used herein but not defined below shall have the meaning ascribed to them in the Agreement.
1. Defined Terms
a. “Artificial Intelligence” or “AI” means any algorithmic, interpretive, machine learning, or other process which is intended to perform tasks that normally require human intelligence such as problem-solving, pattern recognition, and prediction.
b. “Agent” means an AI-powered system or program that is capable of autonomously (without human interaction) performing tasks on behalf of a user or another system.
2. Additional Product Terms
a. Connectors. Yardi Connectors links Client’s Yardi database to Client’s licensed third-party AI model application, allowing Client to query its Yardi database by prompting the AI model in natural language. Client has its own license agreement with such third party governing the third party’s processing of Client Data, and Yardi disclaims liability for such third-party processing, including the output generated by such third parties. Connectors are provided on an “as-is and as-available basis.” Yardi has no liability with respect to Client Data that leaves the Yardi Cloud.
3. DATA PROCESSING: CLIENT HAS READ, UNDERSTOOD, AND AGREES TO BE BOUND BY THE ADDITIONAL TERMS AND CONDITIONS IN THE LATEST VERSION OF THE DATA PROCESSING ADDENDUM (DPA) POSTED AT https://resources.yardi.com/legal/data-processing-addendum/ (WHICH WILL BE UPDATED FROM TIME TO TIME AND IS INCORPORATED INTO THIS AGREEMENT BY THIS REFERENCE), AND ALLOWS CLIENT TO USE YARDI’S PRIVACY AND DATA COMPLIANCE TOOLS.
4. Amendments to the Terms. Yardi reserves the right to add, delete or change the Terms at any time IN ITS SOLE DISCRETION, including but not limited to when such changes are required by Applicable Law or any other legal, regulatory, contractual or other requirement imposed by regulatory authority or any other entity involved in any way, whether directly or indirectly, with the Yardi Virtuoso.
