1. WorkCafe is a technology platform that facilitates the development and delivery of innovative workplace-related services, including centralizing booking services, workspace engagement and analytics, and managing and facilitating various activities and transactions between Client employees and guests interacting on the WorkCafe platform (“Users”) (collectively, the “WorkCafe Services”).
2. Yardi does not own or manage any offices, spaces, locations, or properties listed on WorkCafe, does not act as an agent or broker on behalf of Client in connection any offices, spaces, locations, or properties listed on WorkCafe, and does not enter into rental or booking contracts for those offices, spaces, locations, or properties. Yardi will not be liable under any circumstances for agreements or arrangements entered into between Users and Client or any other interactions between Users and Client. Client hereby releases Yardi from any claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.
3. Client acknowledges and agrees that Yardi does not provide the following services through WorkCafe or as a part of the WorkCafe Services, and bears no responsibility or liability for the following activities, among others:
• Lease or sale transactions, including without limitation, negotiations, offers, agreements, establishing rents or fees, or any related communications (although the WorkCafe Services do facilitate these transactions between Client and Users);
• Legal, brokerage or other related professional services or advice;
• Inspection, screening or pre-approval of rental properties, spaces, or offices;
• Verification, screening or pre-approval of listings;
• Evaluation, screening or pre-approval of other advertisers who post listings or other content on WorkCafe; or
• Third party provider products.
4. Yardi has no responsibility or duty to review, approve or pre-screen any content or materials (including, but not limited to booking listings, booking agreements, booking terms, personal information, financial information, postings, messages, text, images, photos, files, video, key word data and other advertising content) posted on WorkCafe or transmitted through or in connection with the WorkCafe Services by Client) posted on WorkCafe by any third party (including Client), and Yardi is not responsible and disclaims any liability relating to such content. California Assembly Bill 723 (AB 723) requires: (a) a clear, conspicuous disclosure whenever a Digitally Altered Image is used; and (b) inclusion of the same image without digital alteration in online advertising. A Digitally Altered Image is defined as an image, created by or at the direction of the real estate broker or salesperson, or person acting on their behalf, that has been altered through the use of photo editing software or artificial intelligence to add, remove, or change elements in the image, including, but not limited to, fixtures, furniture, appliances, flooring, walls, paint color, hardscape, landscape, facade, floor plans, and elements outside of, or visible from, the property, including, but not limited to, streetlights, utility poles, views through windows, and neighboring properties. Digitally Altered Image does not include an image where only lighting, sharpening, white balance, color correction, angle, straightening, cropping, exposure, or other common photo editing adjustments are made that do not change the representation of the real property. To the extent Client, or any Client users, upload any Digitally Altered Images to WorkCafe, such Digitally Altered Images must include a clear and conspicuous disclosure and, for online listings, the original unaltered image. This includes all visual Client content such as static images, 3D floorplans, and video tours where material changes to the property appearance occur.
5. In order to use the Client features of WorkCafe, Client may have to register and create a password-protected WorkCafe account (“Client Account”). Client agrees to: (i) provide true, accurate, current, and complete information as prompted by the registration form; and (ii) maintain and update such information to keep it true, accurate, current, and complete at all times. Yardi reserves the right to delete the Client Account and refuse any and all current or future use of WorkCafe (or any portion thereof) without notice if you are found to have misrepresented your age, identity, or any other information submitted in connection with the Client Account or if Yardi has reasonable grounds to suspect that such information is untrue, inaccurate, incomplete or not current. Client is responsible for maintaining the confidentiality of your password, your email address and the Client Account, and are fully responsible for all activities that occur under your password and Your Account. Client agrees to: (i) immediately notify Yardi of any unauthorized use of your password or account, or any other breach of security, (ii) immediately change your password if you become aware that the Client Account has been compromised, (iii) ensure that you fully exit from the Client Account at the end of each session. Client agrees and acknowledge that Client will not allow others to utilize its Client Account and that Client will not disclose its WorkCafe password to anyone. Client will be solely responsible for safeguarding its password and also for any actions under the Client password and Client Account, whether authorized by Client or not. Client further agrees not to use anyone else’s password on WorkCafe or attempt to gain access to the WorkCafe account of any other person. Yardi cannot and will not be liable for any loss or damage arising from your failure to comply with this section. The WorkCafe Services may include a user management function that allows Clients to create user groups, granting the Client users in such user group the right, or permission, to access and use certain WorkCafe Services. Such WorkCafe Services may include, but are not limited to, WorkCafe Services that incur or require the payment of additional Fees. Client expressly understands and agrees that Client shall pay any Fees for Services incurred by Client users’ use of any such WorkCafe Services.
6. Client may engage with a third party for goods and/or services through WorkCafe. Any such activity, and any terms, conditions, warranties or representations associated with such activity, are solely between Client and the applicable third party. Yardi and its licensors shall have no liability, obligation or responsibility for any such correspondence, purchase or promotion between you and any such third party, including any termination by such third party of their provision of goods or services to Client. Yardi does not endorse any sites on the Internet that are linked through WorkCafe and does not endorse any third party goods or services that are made available to Client as a result of Client’s use of WorkCafe. Yardi is not involved in, is not liable for, and is not a party any third party transactions on WorkCafe. Client agrees that it will address any discrepancies, issues or concerns with any such third party interaction (including payments) by contacting the third party directly, rather than Yardi. Yardi shall not be involved in such issues except where the issue is solely attributable to a malfunction or error occurring on WorkCafe or in connection with the WorkCafe Services.
7. Client agrees to indemnify, defend, and hold harmless Yardi from and against any third party claims against Yardi, its affiliates, officers, directors, and employees arising out of or in connection with Client’s use of the WorkCafe Services in violation of these WorkCafe Terms or applicable law.
8. Yardi may modify or update these WorkCafe Terms from time to time, in its sole discretion. IF ANY MODIFICATION IS NOT ACCEPTABLE TO CLIENT, CLIENT’S SOLE AND EXCLUSIVE REMEDY AND RECOURSE IS TO DISCONTINUE USE OF WORKCAFE.
