Yardi Systems, LLC and its affiliated entities (collectively, “Yardi”) thank you for joining the RentCafe Internet / Connectivity Services Program (“Program”) through which you will have the ability to earn Enrollment Revenue when your residents enroll in Internet / Connectivity Services (“Services”). Yardi and Client (“Client” or “you”) agree to amend their SAAS Subscription Agreement (“Agreement”) to add the RentCafe Internet / Connectivity Services Program Terms and Conditions for Property Managers (“Terms”), which shall govern your participation in the Program provided by Yardi and its product and service partners (“Partners”). Capitalized terms used herein but not defined in Section 5 below shall have the meaning ascribed to them in the Agreement.
1. Program Services. Internet / Connectivity Services include, where applicable, Internet Data, Mobile, Voice Over IP (“VOIP”), Security, and Entertainment (video / streaming service) (collectively, “Internet / Connectivity Services” or “Services”) and are available from Yardi’s service partner(s). You expressly authorize Yardi to embed links in the RentCafe Portals to enable your Residents to enroll and purchase the Services. Client’s existing contract(s) for Internet / Connectivity Services, if any, shall continue in effect notwithstanding this amendment.
2. Enrollment Revenue.
a. You may earn Enrollment Revenue when your Residents sign up for the Services detailed below.

b. Earned Enrollment Revenue can be applied as a credit towards future Yardi goods and services, used to purchase additional rewards points, or disbursed in the form of a payment on a quarterly basis. Enrollment Revenue may be deferred until a minimum of $50 is reached or prorated for Properties canceled or terminated within a calendar quarter. These Terms may be terminated for any reason with 30-day notice. Upon termination of the Terms for any reason, Yardi shall have no further obligation to pay or credit any Enrollment Revenue, except for such Enrollment Revenue, if any, accruing prior to the date of termination. As a condition of payment (versus credit), you will need to provide Yardi with a W-9 and payment instructions.
3. Amendments to the Terms. Yardi may modify the Terms from time to time and shall provide material modifications to Client in advance. Client may reject the modifications and terminate these Terms without penalty.
4. Definitions.
a. “Resident” means residents and prospective residents at a Client property.
b. “Resident Data” means your Residents’ physical addresses, email addresses, and lease details. Yardi will only use Resident Data (i) in connection with providing links in the RentCafe Portals to enable your Residents to enroll and purchase the Services, (ii) for reasonable business record retention purposes, (iii) to disclose to third parties as required by applicable law, and (iv) to disclose and use to and by Partner as necessary to provide the Services. Yardi shall not share Resident Data with your competitors or use or sell Resident Data to anyone for any other purpose, except that a Resident who chooses to enroll in any Services may agree to privacy policies or other terms and conditions applicable to the Services where Residents authorize and consent to the use and sharing of their information in accordance with such policies and terms.
c. “RentCafe” is a technology platform that facilitates the development and delivery of innovative renter-related services, including, but not limited to: (1) a consumer facing software platform that includes portals for prospective tenants to submit an application for a rental property, which is referred to as the online leasing portal; and (2) a resident portal that manages and facilitates various activities and transactions between tenants and property managers or owners related to rental properties such as paying rent or renewing a lease (collectively, “RentCafe Portals”).
ALL OTHER TERMS AND CONDITIONS OF THE AGREEMENT SHALL REMAIN IN FULL FORCE AND EFFECT.
