Yardi Systems, LLC and its affiliated entities (collectively, “Yardi”) and Client (“Client” or “you”) agree to amend their SAAS Subscription Agreement (“Agreement”) to add the Yardi Premium Agent Terms (“Terms”) posted at https://resources.yardi.com/legal/premium-agent/terms/. Capitalized terms used herein but not defined below shall have the meaning ascribed to them in the Agreement.
1. Agents, including Premium Agents, are powered by third-party large language models and are made available “as-is” and “as-available” for use within Client’s instance of the Licensed Programs. While Yardi designs Agents with care, neither the accuracy of their outputs nor the consequences of actions they execute are guaranteed, and Yardi assumes no liability for Agents’ content, decisions or actions resulting from the Client’s directions, instructions, configurations, or permissions. Yardi has no liability with respect to Client Data that leaves the Yardi Cloud. Agents should not be used to make decisions that produce legal effects or similarly significant effects on individuals without human involvement. It is Client’s sole responsibility to ensure that it uses Agents in compliance with applicable law and the terms of the Agreement. “Agent” means an AI-powered system or program that is capable of autonomously (without human interaction) performing tasks on behalf of a user or another system and includes Premium Agents (listed below) and other Agents that Client is authorized to deploy within the Licensed Programs.
2. Premium Agents. Virtuoso Premium Agents automate high-value workflows that save time and deliver measurable ROI. If Client elects to use Virtuoso Premium Agents, Client agrees to the following Fees:
a. Smart Approval Premium Agent: $1.25 per approved IR.
b. Lease Audit Analyst Premium Agent: $20.00 per lease discrepancy.
Yardi reserves the right to modify Premium Agent pricing due to changes in the pricing, licensing, or other commercial terms of the underlying third-party AI providers.
4. DATA PROCESSING: CLIENT HAS READ, UNDERSTOOD, AND AGREES TO BE BOUND BY THE ADDITIONAL TERMS AND CONDITIONS IN THE LATEST VERSION OF THE DATA PROCESSING ADDENDUM (DPA) POSTED AT HTTPS://RESOURCES.YARDI.COM/LEGAL/DATA-PROCESSING-ADDENDUM/ (WHICH WILL BE UPDATED FROM TIME TO TIME AND IS INCORPORATED INTO THIS AGREEMENT BY THIS REFERENCE), AND ALLOWS CLIENT TO USE YARDI’S PRIVACY AND DATA COMPLIANCE TOOLS.
5. Amendments to the Terms. Yardi reserves the right to add, delete or change the Terms at any time in its sole discretion, including but not limited to when such changes are required by applicable law or any other legal, regulatory, contractual or other requirement imposed by regulatory authority or any other entity involved in any way, whether directly or indirectly.
