Yardi Systems, Inc. and its affiliated entities (collectively, “Yardi”) thank you for joining the RentCafe Living program. When your Residents enroll in the RentCafe Living Program and sign up for eligible resident services, they will earn points that can be redeemed at thousands of retailers, while you will have the ability to earn Marketing Fees when your residents sign up for such services. Yardi and Client (“Client” or “you”) agree to amend their SAAS Subscription Agreement (“Agreement”) to add the Xfinity and Rent Reporting RentCafe Living Terms and Conditions for Property Managers posted at: [Insert link to these terms on client central] (“Terms”), which shall govern your participation in the Xfinity and Rent Reporting programs (collectively, the “Program”) provided by Yardi and its product and service partners (“Partners”). Capitalized terms used but not otherwise defined herein shall have the meaning ascribed to them in the Agreement.
1. “Resident” means residents and prospective residents at a Client property.
2. “RentCafe” is a technology platform that facilitates the development and delivery of innovative renter-related services, including, but not limited to: (1) a consumer facing software platform that includes portals for prospective tenants to submit an application for a rental property, which is referred to as the online leasing portal; and (2) a resident portal that manages and facilitates various activities and transactions between tenants and property managers or owners related to rental properties such as paying rent or renewing a lease (collectively, “RentCafe Portals”).
3. Program Services. Xfinity services include Xfinity Internet, Xfinity mobile, and Xfinity entertainment (streaming service) (collectively, “Xfinity Services”) and are available from Yardi’s service partner, Comcast Cable Communications Management, LLC (“Comcast”). Rent reporting services (“Rent Reporting Services”) are available for participating properties from Yardi’s service partner Identity Intelligence Group, LLC® dba IDIQ (“IDIQ”). Xfinity Services and Rent Reporting Services are collectively referred to herein as “Services”. You expressly authorize Yardi to embed links in the RentCafe Portals to enable your Residents to enroll and purchase the Services. You expressly authorize, acknowledge and agree to allow Yardi and Partners to contact your Residents on your behalf in order to offer and provide certain Services directly to your Residents, including by (a) placing and maintaining advertising materials in the RentCafe Portals, (b) sending text messages (including text messages sent via automatic telephone dialing system), (c) e-mailing (including by displaying your email address or domain as the email sender), (d) sending U.S. mail, and (e) any other methods that comply with applicable consumer rules and regulations (collectively, “market”). You expressly acknowledge and agree that you shall not interfere with such marketing by Partner or with the ability of a Resident to receive Services if they choose to do so, and that the marketing, offering, and providing of the Services shall not violate any other agreement, promise, or undertaking that you have with any third party. You further acknowledge, agree, and grant Yardi the right to access and use Resident Data (defined as your Residents’ names, date of birth, addresses, phone numbers, email addresses, and lease details (which are used to determine if a unit is vacant, occupied, unavailable, to calculate rewards based on the lease amount, and the like)), which Yardi will only use (i) in connection with marketing Services to Residents, (ii) for reasonable business record retention purposes, (iii) to disclose to third parties as required by applicable law, and (iv) to disclose and use to and by Partner as necessary to provide the Services. However, Yardi shall not share Resident Data with your competitors or use or sell Resident Data to anyone for any other purpose, except that a Resident who chooses to license and use any Services may agree to privacy policies or other applicable terms and conditions applicable to the Services where Residents authorize and consent to the use and sharing of their information in accordance with such policies and terms.
4. Marketing Fees.
a. You will have the ability to earn the Marketing Fees when your Residents sign up for such Services from Yardi, its subsidiaries, and its product and service partners.

b. Upon each Anniversary Date, earned Marketing Fees can be applied as a credit towards future Yardi goods and services or disbursed in the form of a payment. Marketing Fees may be prorated for Properties canceled or terminated within a calendar quarter. Upon termination of the Terms for any reason, Yardi shall have no further obligation to pay or credit any Marketing Fees, except for such Marketing Fees, if any, accruing prior to the date of termination. As a condition of payment (versus credit), you will need to provide Yardi with a W-9 and payment instructions.
5. Rewards by RentCafe Program.
a. When your Residents enroll and sign up for eligible Services, they will earn points that can be redeemed at thousands of retailers.
b. Reward points cannot be redeemed for cash or credit.
6. Client Representations, Warranties, and Covenants. Client represents, warrants and covenants to each of the following:
a. Client has full power and authority to enter into and perform its obligations under these Terms.
b. Client has obtained any and all required consents from, and provided any and all necessary privacy notices to, Residents to enable Yardi’s marketing and implementation activities contemplated by these Terms. Notwithstanding anything to the contrary in the Terms, Client shall permit Residents to report their respective consumer account information to any credit reporting agency. Client shall comply with any legal requirement imposed upon Client by a credit reporting agency.
c. Yardi may list Client as participating in the RentCafe Living Program on Yardi’s websites and use Client’s logo(s) and marks in Yardi’s marketing and collateral materials.
7. Amendments to the Terms. Yardi reserves the right to add, delete or change the Terms at any time in its sole discretion, including but not limited to when such changes are required by Applicable Law or any other legal, regulatory, contractual or other requirement imposed by regulatory authority or any other entity involved in any way, whether directly or indirectly, with the Program.
ALL OTHER TERMS AND CONDITIONS OF THE AGREEMENT SHALL REMAIN IN FULL FORCE AND EFFECT.
